The Fair Disclosure Policy sets forth our commitment to ensure fair disclosure of information about BOC Hong Kong (Holdings) Limited and its subsidiaries ( collectively “BOCHK” or “the Company”). BOCHK recognises the fundamental importance of transparency and accountability. The Company is committed to providing its securities holders, potential investors and the general public access to key information reasonably required to make an investment decision on a fair and timely basis.

This policy outlines procedures to ensure :
1) compliance with the Listing Rules and other regulatory requirements in relation to the disclosure of price-sensitive information;
2) that all communications with the public, including the investment community and the media are fair; and
3) that material non-public information is not disseminated on a selective basis.

Internally, BOCHK has informed all its employees about this fair disclosure policy and how it affects contacts with the investment community and the media. Our internal policy states that all queries from investment community and the media must be funneled through our Investor Relations Division and Corporate Communications Division respectively. This policy helps protect employees and BOCHK from regulatory and other potential public liabilities.

For the purpose of these policy and guidelines, the investment community refers to existing and potential investors of the Company’s securities, analysts and securities market professionals. The Company’s securities include both equity securities and debt securities.

I. Authorised Spokespersons
a) Primary spokespersons responsible for communicating Company information to the investment community and the media include our Chairman, Chief Executive, Deputy Chief Executives, Chief Financial Officer, Chief Risk Officer, Chief Operating Officer, Assistant Chief Executive, Board Secretary, Head of Investor Relations and Head of Corporate Communications.
b) Where appropriate, the Company may authorise other officers of the Company to communicate with the investment community or the media as part of the Company’s investor relations or public communications program.  Investor relations personnel will be present when non-primary spokespersons meet with the investment community.

II. Investor Meetings
These meetings will only discuss financial information and historical data that have been previously released to the public.  Information regarding our markets, products, corporate strategies, business strengths and weaknesses, growth opportunities and threats etc., will be discussed as long as it is not considered to be material non-public information. BOCHK will maintain records of information provided to analysts and investors.

III. Analyst and Investor Conferences, and ‘Road Shows’
BOCHK will actively meet with the investment community in meetings, conferences and ‘road-shows’. Information regarding the Company will be discussed so long as it is not considered to be material non-public information.

IV. Earnings Guidance
BOCHK does not issue earnings guidance.  Our policy is not to comment on earnings estimates or market forecasts.

V. Analyst Models and Reports
BOCHK will not review or comment on analysts’ financial models and research reports, except to suggest corrections to material inaccuracy relating to historical information that is publicly available. Our investor relations division is pleased to assist with historical data and previously disclosed public information.

VI. Questions to Investor Relations
BOCHK’s Investor Relations Division will respond to inquiries from the investment community that relate to information that is already in the public domain.

VII. Media Communications
The Company will also communicate through other channels like news releases, press conferences or media interviews to keep the media, the investment community and the public abreast of the Company’s developments.

VIII. Market Rumours
It is the Company’s policy not to comment on market rumours or speculation unless required to do so by law or the regulatory authorities.

IX. Website
The Investor Relations section of our website (http://www.bochk.com/ir) contains all relevant information that should allow an investor to stay informed about BOCHK. Our website will also include a corporate calendar that provides the dates of interim and annual earnings announcements, and other significant events.

An e-mail alert system option allows investors/analysts to sign up and be automatically updated.

X. Earnings Conference, Webcast and Presentations
BOCHK broadcasts its interim and annual earnings briefings via a live webcast.  The webcast is subsequently hosted on the investor relations section of our website until the next earnings release.  Interim and annual results presentations, reports and press releases are also posted on our website.  Overall strategy, financial results, operating performance and recent developments will be shared and reviewed in these presentations.

XI. Quiet Period
BOCHK imposes a quiet period that begins one month before the release of our earnings. During the quiet period we will not have any investor meetings, and access to senior executives will be restricted.
